Shadchan Tool Usage Agreement Version: July 2026 v3, LiZug LLC. Last Updated: July 17, 2026. Effective: July 17, 2026.
This Agreement governs the relationship between LiZug LLC and independent shadchanim or Jewish matchmaking platforms, referred to in this Agreement as "Professional Users," who use the LiZug portal as part of their own shidduch process. LiZug is a compatibility assessment and reporting tool; it is not a matchmaking service, does not perform introductions, and does not conduct shadchanim. LiZug does not provide Professional Users with access to any user's assessment responses or compatibility report through the Platform, under any circumstance.
Professional Users are independent third parties and are not employees, agents, representatives, fiduciaries, partners, or joint venturers of LiZug. Nothing in this Agreement creates an employment, partnership, agency, or franchise relationship. Any shidduch process, introduction, or relationship decision is conducted independently by the Professional User outside of LiZug.
LiZug grants the Professional User a limited, revocable, non-exclusive, non-transferable license to access and use the Platform's Professional User portal solely to: refer prospective users to LiZug, view the referral and pricing status of users they referred (for example, whether a referred user has completed an assessment or unlocked a report), and manage their own account. This license does not include, and LiZug does not grant under any circumstance, access to any user's assessment responses, scores, or compatibility report content. If a Professional User's client wishes to share their report with the Professional User, the client must do so directly, by sending their own downloaded copy, entirely outside the Platform. LiZug will not provide, and has no obligation to provide, report access to a Professional User under any circumstance, including at a client's request made to LiZug rather than to the Professional User directly.
Because the Professional User does not receive report content through the Platform, this confidentiality obligation applies to whatever non-report account and referral information the Professional User does access through the portal, described in Section 3, and to any report or assessment information a client separately and voluntarily shares with the Professional User outside the Platform. The Professional User shall maintain strict confidentiality of such information and shall not disclose, repost, screenshot, distribute, publish, forward, copy, or misuse it except as reasonably necessary for their own legitimate shidduch process with that client's knowledge.
The Professional User may use the portal solely for the referral and account-management purposes described in Section 3, and may use any report information a client separately shares with them outside the Platform solely for compatibility evaluation, shidduch discussions conducted by the Professional User, and related purposes within the Professional User's own workflow. No data may be used for advertising, resale, data mining, AI training, commercial exploitation, or unrelated business purposes.
The Professional User agrees to comply with all applicable privacy, confidentiality, and data protection laws when handling any information a client shares with them, including the Rhode Island Data Transparency and Privacy Protection Act to the extent applicable to the Professional User's own processing of that information outside the Platform.
LiZug does not guarantee shidduch outcomes, relationship success, compatibility accuracy, uninterrupted service, or the conduct of users. Assessment outputs and algorithmic insights are informational tools only, and are subject to the AI-accuracy disclaimer in the Terms of Service.
The Professional User shall implement reasonable safeguards to protect their account and any information they access, including secure passwords and preventing unauthorized access.
The Professional User may not: attempt to obtain report content through the Platform by any means; scrape or export data; create competing databases; share login credentials; circumvent platform protections; impersonate users; harass users; or violate Community Standards.
The Professional User independently manages their own client relationships and their own shidduch process. LiZug is not responsible for communications, advice, recommendations, introductions, or relationship outcomes involving the Professional User. LiZug does not participate in the Professional User's shidduch decisions.
LiZug does not pay referral commissions, engagement fees, or success fees to Professional Users, and does not charge Professional Users a fee to use the portal. Any fees the Professional User charges their own clients are set and collected by the Professional User independently of LiZug, outside the scope of this Agreement.
The Professional User agrees to defend, indemnify, and hold harmless LiZug and its affiliates from claims, liabilities, damages, losses, costs, and expenses arising from misuse of any information the Professional User accesses through the portal or receives from a client, privacy violations, unauthorized disclosures, unlawful conduct, or violations of this Agreement.
To the maximum extent permitted by law, LiZug shall not be liable for indirect, incidental, consequential, emotional-distress, reputational, punitive, or special damages arising from use of the Platform or from any shidduch activity conducted by the Professional User. This limitation does not apply to LiZug's own gross negligence, willful misconduct, or fraud.
LiZug may suspend or terminate access at its discretion for violations of this Agreement, misuse of information, security concerns, or legal compliance reasons.
LiZug may maintain access logs, monitoring systems, audit trails, and security systems related to Professional User activity for fraud prevention, enforcement, legal compliance, and operational integrity.
This Agreement shall be governed by the laws of the State of Rhode Island, consistent with the Terms of Service. Disputes shall be resolved through binding arbitration as provided in the Terms of Service.
Confidentiality obligations, liability limitations, indemnification obligations, and dispute-resolution provisions survive termination of this Agreement.
By accepting this Agreement, the Professional User acknowledges that LiZug does not provide report access through the Platform under any circumstance, agrees to use the portal solely for the referral and account purposes described in Section 3, accepts independent contractor status, understands that LiZug does not charge a portal fee and does not pay referral, engagement, or success fees, and agrees to be legally bound by this Agreement.
